And they are either bordering on being defamatory or have crossed over the line and are actually defamatory.<o:p></o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'><o:p> </o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>As can be expected, I do not agree with the accusations made by Mr Marton and I certainly do not agree with the supposed facts or assumptions on which they are based.</span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'> </span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>Firstly, I am only one director of seven (and, until recently, it was eight directors). <o:p></o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'><o:p> </o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>As should be happening with Committees at Centres, the Board operates on a “majority decision” basis. Once a decision is made by the Board, the Board appoints a director to convey the Board decision on that particular matter. <o:p></o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'><o:p> </o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>Therefore, regardless of my views on a matter, (or the views of whoever issues a decision <b>on behalf of the Board</b> to Centres), it needs to be both seen and accepted as a decision of the Board. And it may not necessarily be that of the sender. This applies to all Board correspondence that is sent on behalf of the Board.<o:p></o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'><o:p> </o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>Therefore, when I, in my capacity as a director, send a document to notify of a Board decision, it is the decision of the Board that I have notified to Centres. And this happens regardless of which director sends out the correspondence – as long as the correspondence was, like mine, sent with at least majority, if not unanimous Board approval.</span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'> </span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>If I am appointed to announce the Board’s decision to the Members on a particular matter, I do just that, regardless of what my view on the matter was. It is the Board’s decision that I am conveying, not my own.</span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'> </span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>As to the rest of the email (ie “Mate’s hat on”), there are a few things that need to be said.<o:p></o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'><o:p> </o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>Firstly, if it was intended for me personally, it should not have been circulated to the whole organisation.<o:p></o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'><o:p> </o:p></span></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>Secondly, I was not aware that there was such a “relationship” as claimed. </span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'> </span><o:p></o:p></p><p class=MsoNormal><span style='font-size:12.0pt;mso-fareast-language:EN-US'>I have always kept my dealings as “professional” as possible, including while I was volunteering at the Ryde Centre.
