Thank you for highlighting my typographical error.

Dear Centres and Volunteers

My apologies for any confusion that I may have caused.

I have corrected my error in red below in the attached copy of my original email.

In simple terms, my error was that I incorrectly referred to the SGM held on 11 November 2024 as an AGM.

For clarity, the 2025 AGM will be held in May this year as per normal.

As requested unanimously by the Board, I am writing to provide you with the details, and a summary, of the Mediation that was held on 17th December 2024.

I have attached the signed Mediation agreement, and the new Constitution adopted at the Special General Meeting (SGM) held on 11 November 2024.

Here are some summary points:

The Constitution adopted at the SGM held on the 11th November 2024, is now the new Constitution of RDA NSW (Point 8 of the Mediation Agreement). This is now the Constitution that the Members and the Board of Directors will follow.

It was agreed that Clause 6 of the 2018 Constitution will replace the Clause 6 that was in the new Constitution. (Point 1). This change will occur at the AGM in May this year (Point 2)
  *
RDA NSW will engage Hundt Law to review the new Constitution to see if any further enhancements or changes to the new Constitution should be made at the AGM in May this year. (Point 3) Mr Hundt will also provide advice on the pros and cons of the Member Centres incorporating.
  *
RDA Tamworth & RDA Tall Timbers also agreed that they would withdraw their call for an election at a second Special General Meeting (SGM). (Point 6).

The election for new directors will be held as part of the AGM in May 2025.

It was also agreed that they would not call for any other SGMs (Point 7)

It also agreed that Board would be able to continue to operate in a normal fashion - in other words 'back to normal' (Point 9)

The following Board level changes were agreed to:
     *
Sue Wilson (RDA Tamworth) was appointed to the Board, effective immediately, (Point 10)
     *
Bruce Manefield was appointed as Company Secretary until the next AGM. (Point 11)
     *
Greg Urand was confirmed as Chairperson.  (Point 12)
