Dear member centres

 

As you are all aware, the SGM held on Wednesday the 26th June included a
vote to remove a Director.

 

There was some confusion around who was entitled to vote. The motion was
moved and carried subject to the Board getting legal advice from independent
law firms.

 

The legal advice has been received and reviewed. Whilst one of the lawyers
expressed a view that the constitution was not clear with respect to the
rights of HLM's to vote, the overall view of all the legal advice was the
Constitution as it is written, clearly indicates that the HLMs are not
allowed to vote.

 

Given that, the Board through good governance, has agreed that the motion is
carried.
