Thanks Tracy for the update to RDA(NSW) Life Members.
As you are aware, over the past day or so, I have searched through the RDA(NSW) Constitution 2018 and, in my opinion, the attached clauses 4,5,14,26,36,37 relate to this debacle so, thought our Life Members would appreciate receiving same.
I feel these clauses clearly indicate that the 2 Centres who are calling this Special General Meeting may not be aware that the said ‘Constitution Committee’ has not been sanctioned by the RDA(NSW) Board.
In brief, hope the following extracts below from the attached document may assist:-:
Clause 5 – Genera Powers –
* 5.3 …..the Company will oversee, manage and control the operation of New South Wales and shall be empowered to ensure compliance by the Members
Clause 14 – Discipline of Members –
* ….. if any Member is guilty of any conduct ……… …..the Board of Directors may by resolution withdraw the fundraising number, fine, suspend, discipline, disqualify, expel or retain that Member as the Board of Directors considers appropriate and the Member will have no automatic right to resign from the Company.
* 14.5. In exceptional circumstances the Board of Directors may appoint a temporary Administrator…….to achieve a particular aim consistent with the Objects.
* 14.7. …..the Administrator will select a new committee to run the Accredited Centre ….the Member will not have voting rights for General Meetings.
Clause 26. Powers and Duties of the Bboard of Directors
* 26.1. the Board of Directors as the controlling authority of the Company will be responsible for acting on all issues in accordance with the Objects and will operate for the collective benefit of the Company and Riding for people with disabilities……:
* (c) By itself or on the advice of a committee appointed by the Board of Directors for this purpose, formulate, approve, issue, adopt,
Clause 36. Delegated Bodies ….Committees & Delegates
* 36.1. Board of Directors may Delegate Functions to Committees
* (a) ………consisting of such person or persons as the Board of Directors thinks fit……..must conform to any regulations that may be given by the Board of Directors.
* (b) The Board of Directors may appoint any person onto any committee established by the Board of Directors.
36.4. Procedure of Committees
* (d) A Director shall be an ex-officio member of any committee so appointed.
* (e) Within seven (7) days of any meeting of any committee, the committee shall send a copy of the Minutes and any supporting documents to the Company Secretary and Board of Directors.
36.6. Revocation of Delegation
* The Board of Directors may,…., revoke wholly or in part any delegation made under Clause 36, and may amend, repeal or veto any decision made by such committee under Clause 36……..
36.7. Power of committee
* The exercise of a power by a committee…..is to be treated as the exercise of that power by the Directors unless such powers are revoked or decisions made under such powers by a committee are amended, repealed or vetoed by the Board of Directors.
It would be wonderful if, one day, we could all meet, possibly for an extended lunch???

Dear Life members,
I was indeed in 2 minds as to whether I send this to you all or not let it through our email system.
I am sending it to you for transparency.
I do apologise sincerely that we are experiencing and over burden of emails.
I also want to inform you that Bruce Manefield is not a member of any centre of RDA(NSW) nor a legal entity representing Box Hill or Tamworth. They have not been given the approval to form this group nor use the letter head and logo for there group.
Box Hill was asked to forward their minutes several weeks ago to where the whole committee agreed to what we are all experiencing. These minutes were never forth coming.
We have appointed a director to assist with the constitution and the solicitor so that we can all have input into the constitution revamp. This director is James Van-Lane of the Wollondilly centre.
James has asked for Bruce to cease and desist and to wait until November when James returns from his granddaughters wedding in Canada.
We have had the regional reps personally call most of the centres to see if they are going ok with all of this ,most of them have had enough and are indeed very distressed by what this minority group are doing.
Emails of distress from several centres have also been received and these centres have decided that they will not be sharing the information any more with their volunteers as it is causing distress and mental anguish.
What I can also let you know is that 2 of the centres who have self-appointed individuals in the self-appointed working party have emailed the Board and said they are not part of it. Those centres are Wagga and Raymond Terrace . A phone call from another individual at Goulburn has also notified me that they are not part of it either.
2 parties of the group are also individuals which have been suspended from RDA(NSW) and 1 of the centres is in administration.
I hope this gives you a clearer view on what is happening on our end, and I can assure you we are and will be taking this seriously and whole heartedly bring order back into the organisation to continue the outstanding work our centres, horses and volunteers do for our riders and participants.

Dear RDA Member Centres and Honorary Life Members
This Notice of a Special General Meeting (SGM) is issued by RDA Tamworth and Tall Timbers under Clauses 20.2(a) and 20.2(d) of the current RDA NSW Constitution.
The Constitution requires us to notify all Member Centres and Honorary Life Members of the upcoming SGM.
The meeting will be held online at 7pm on 11 November 2024.
