[Centres] 2020 RDA (NSW) Annual General Meeting

Hello everyone.

 

The Board of RDA (NSW) has received Notices of Motion for presentation at
the RDA (NSW) 2020 Annual General Meeting.  The primary issue covered by
these Motions is the proposal to allow RDA (NSW) Centres to become
incorporated under the provisions of the Associations Incorporations Act
2009.

 

The Board supports the concept in principle and has sought legal advice on
the issue.  This advice has been requested as there are a number of matters
which need to be considered as part of the process.  

 

While incorporating a Centre is, of itself, a relatively simple process, the
Board is of the view that in order to make any decision on the issue, it is
necessary to consider the whole process on an organisation-wide basis.  This
includes such things as the requirements of an incorporated Centre compared
to those of a Centre which may decide not to take that step.  It also
involves having to determine what effect, if any, the incorporation of all,
or some, of the RDA (NSW) Centres could have on the structure of RDA (NSW).

 

Another issue that is the subject of the request for legal advice is whether
the current structure of RDA (NSW) itself needs to be reviewed.  

 

Over the years there have been many developments in legal and commercial
practices.  The Board considers that if the legal advice suggests that a
change in the structure of the organisation needs to be considered in order
to comply with current law and practice, such review could also impact on
the manner in which the incorporation of Centres may be implemented.

These two issues of the incorporation of Centres, which are part of the
company "RDA (NSW)", and any potential review of the structure of RDA (NSW)
- both the company structure and the organisation as a whole - are closely
interrelated and the Board considers that they need to be dealt with
together.  

 

As a result, the Board proposes, and accordingly presents a Notice of
Motion, that any decision on the implementation of the process for the
incorporation of Centres be deferred if the legal advice referred to above
is not received in sufficient time prior to the AGM to allow sufficient
opportunity for the Board and all Members to examine the advice.  Then, once
that advice is received and reviewed by the Board and by RDA (NSW) Members,
a Special General Meeting can be held to discuss and vote on all matters,
with the decisions being made having the benefit of the legal advice.

1.	Notices of Motion as presented to the Board for decision by Members
at the 2020 AGM of RDA (NSW);
2.	Notices of Motion as put by the Board for decision by Members at the
2020 AGM of RDA (NSW);
3.	Comments by the Board on the Notices of Motion which are to be put
to the RDA (NSW) Members at the 2020 RDA (NSW) AGM.
