[Centres] Response to Letter from RDA (NSW) Solicitor

[RDA NSW Tall Timbers Centre]

Dear Board RDA(NSW)

 

Thank you for providing, letter from HWL Ebsworth to Centre Members dated
24/07/20 by Christopher Conolly.  

 

Tall Timbers Committee disputes this legal advice on the following; 

 

1. Telephone conference (being 23rd July 2020) which is not in line with the
board of directors indication of continual legal representation since 2017

.

2. Scope of information being provided - being the review of 4 documents
only, which we do not believe gives a true or complete picture of RDA(NSW)
structure or organisation. 

 

3. This legal advice only discusses motions put forward by Tall Timbers.
Where is the legal advice regarding the structure of RDA(NSW) which the
board stated was all included together with the scope of legal advice they
where seeking. 

 

4. Christopher Conolly statement "My understanding is that each Accredited
Centre operates as part of Riding for the Disabled (NSW). They are branches
of the company not seperate legal entities or an unicorporated association"
further "IF the motion refers..." This raises the question of completeness
of information and basis of advice as to what is our current structure.  

 

5. Motion 2 - he states that "RDA(NSW) as the company cannot authorise or
empower individuals to apply for an incorporated association as they have an
ability to do this under the Associations Incorporated Act 2009" which is
confusing as to what RDA(NSW) current structure is. He goes further to state
"where the individuals involved in an Accredited Centre established an
Incorporated Association, that Incorporated Association may apply to RDA for
membership.  This application can be considered in accordance with clause 10
of the Constitution"  This would on surface appear to sanction that
individuals as Incorporated Associations can apply to RDA(NSW) for
membership under constitution, which again is confusing as to what our
current structure is and the future direction of our organisation as well as
the basis of his recommendation to withdraw the motions
